By using our payment processing services, you are agreeing to be bound by these Terms of Service, and agree that you are responsible for compliance with any applicable local laws. Please read our privacy policy and the General Terms and Conditions for further information on Palisis policies.
For the delivery of payment processing and ancillary services as provided by Palisis to the user (henceforth ‘Sub-Merchant’), referred to as the “Services” as further defined and described in these terms of service.
These terms of service reference the documents within the HOP (Hosted Onboarding Process), which the Sub-Merchant must complete to be eligible for Palisis payment processing services.
1. SUB-MERCHANT DETAILS
To enable Palisis to comply with anti-terrorism, financial services and other applicable laws and regulations and KYC (‘Know Your Customer’) requirements imposed by the Scheme Owners (Mastercard & Visa) and Acquirers (Adyen), the Sub-Merchant has provided information about itself, its activities and its shareholders as included in the HOP (Hosted Onboarding Process). Sub-Merchant unconditionally warrants that all HOP (Hosted Onboarding Process) information is correct and current.
The Sub-Merchant will provide Palisis with at least three Business Days prior written notice of any change of the information reflected in the HOP (Hosted Onboarding Process). Sub-Merchant will first request that Palisis provide additional information and supporting documentation regarding its identity. That of its shareholders and activities as Palisis may reasonably determine the need to ensure compliance with applicable laws and regulations and Scheme Owner and Acquirer KYC requirements. Sub-Merchant agrees that Palisis may run further checks on Sub-Merchant’s identity, creditworthiness and background by contacting and consulting relevant registries and government authorities.
Palisis’ acceptance of the Sub-Merchant as user of the Services and the relevant Payment Methods is strictly personal and limited to the use by the Sub-Merchant of the Services for payment of the Sub-Merchant’s own products and services. Sub-Merchant may not use the Services to facilitate the payment for products or services sold by third parties and, therefore, may not resell the Services to third parties.
Sub-Merchant hereby authorises Palisis to submit information received from Sub-Merchant (including the KYC information included in the HOP (Hosted Onboarding Process) to the relevant Scheme Owners and Acquirers to obtain permission for providing access to their Payment Methods for Sub-Merchant.
1.2 PERMITTED SUB-MERCHANT PRODUCTS AND SERVICES
Sub-Merchant wishes to obtain the Services of Palisis with respect to payments for the Sub-Merchant’s Product and Services described below. The acceptance by Palisis of Sub-Merchant as a customer is strictly linked to this description of Sub-Merchant’s Products and Services. Sub-Merchant must ask prior written approval for any change or addition to the Sub-Merchant’s Products and Services before submitting payment requests.
Services:
Transport and touristic services.
The Sub-Merchant shall not use the Services for the payment of Sub-Merchant Products and/or Sub-Merchant Services where it is illegal to offer or provide these to or from the relevant country and/or which are stated in Adyen’s Restricted Services and Products List.
The list may be updated by Adyen where needed to ensure legal compliance, compliance with Scheme Rules, and/or to reduce exposure to potentially fraudulent transactions. Adyen will inform the provider about updates to the list via written notifications on the Provider Area of the Adyen website.
1.3 SETTLEMENT DETAILS
Palisis will use the settlement details provided by the Sub-Merchant as reflected in the HOP (Hosted Onboarding Process) for Settling received funds for processed Transactions to the Sub-Merchant.
2. SERVICES
2.1 SERVICES
These terms of service cover the following specific Services to be delivered by Palisis to the Sub-Merchant. Related current technical and procedural details can be found in the associated manuals on the Palisis Help Center (support.palisis.com):
- Payment processing (routing of transaction messages on behalf of Sub-Merchant to and from the relevant Scheme Owners or Acquirers);
- Acquiring via Adyen (for some Payment Methods, a direct acquiring agreement for the use of the Payment Method between the Sub-Merchant and the relevant Scheme Owners or Acquirers may be required);
- Settling of funds (calculation and settlement of funds to and from Sub-Merchant accounts and payout to Sub-Merchant bank accounts)
- Reconciliation support (only if Payment Method is Acquired and Settled via Adyen);
- Dispute management (analysing Requests for Information and Notifications of Chargeback on behalf of Sub-Merchant, raising disputes with Sub-Merchant, and defending them)
2.2 PAYMENT INTERFACE
Sub-Merchant will use the Checkout API integration or POS-Terminals of Adyen to have its customers submit payment details for Transactions to be processed by Palisis.
2.3 PAYMENT METHODS
The latest overview of supported payment methods can be found on the Adyen website (https://www.adyen.com/payment-methods). Support for each Payment Method is subject to acceptance by the relevant Scheme Owner, which such Scheme Owner may withhold or withdraw at its discretion at any time. Sub-merchants can request that Payment Methods be activated for their account via the Palisis support desk or Its account manager.
3. PRICING
3.1 PROCESSING FEES
Palisis charges a Processing Fee for each Transaction submitted for processing.
Those Processing Fees cover the basic payment processing services of Palisis and are in addition to the Payment Method specific fees as set out hereinafter.
3.2. REVENUE PROTECT
Revenue Protect is the essential risk mitigation service of the Adyen payments platform. With machine learning and dynamic linking at its core, the features of Revenue Protect provide Sub-Merchant with all the necessary tools to mitigate fraud and reduce false positives. Revenue Protect’s key features include ShopperDNA Network Calculation, Risk Engine Optimizer, Manual Risk Case Management and Manual Review Reporting. This feature has been implemented to protect the Sub-Merchant and its customers.
3.3 VISA / MASTERCARD CREDIT CARD FEES
The fees for Visa / MasterCard credit card Transactions Acquired via Adyen shall be calculated following a transparent “Interchange plus” pricing model. This means that Palisis charges the Sub-Merchant for each Transaction the Interchange Fee as applied for the relevant type of Transaction by the Card Schemes, increased with a fixed acquiring markup. Information on the current interchange price levels can be found on the Adyen or Card Schemes websites.
3.4 OTHER PAYMENT METHOD FEES
The current pricing for the use of other Payment Methods is set out in Adyen’s standard “Price List Payment Methods”, which can be found on the Adyen website and is available upon request.
3.5 ADDITIONAL SERVICES
3.5.1 Refund fee
For Refunds on iDeal, bank transfers, direct debit and ELV payments, a Refund Fee of EUR 0.50 is applied. This Refund fee does not apply to credit cards and debit cards.
3.5.2 Chargeback Fee
The Chargeback Fee for Payment Methods Acquired via Adyen, which will be charged for each Transaction for which a Chargeback request is issued, is £25.00.
3.5.3 Pay-out fees
Palisis charges a payout fee.
- for Pay-outs in the Single Euro Payments Area (SEPA),
- for Pay-outs to Switzerland,
- for Pay-outs to PL, CZ, NO, DK, and SE,
- for Pay-outs to the US,
- for Pay-outs to the UK.
4. SETTLEMENT
4.1 SETTLEMENT FREQUENCY
Palisis will once a month settle to the Sub-Merchant the sums received from the relevant Acquirers and Scheme Owners intended for the Sub-Merchant following the travel date (post-travel), withholding the related fees due to Palisis as per the terms of this Agreement.
5. VARIOUS
5.1 PRICING IN POUND STERLING
All prices and fees quoted are in GBP unless expressly otherwise specified.
5.2 TAXES
All fees of Palisis are exclusive of VAT and other taxes as applicable, and all such applicable taxes are payable by the Sub-Merchant. Sub-Merchant provides Palisis with a valid VAT number to enable correct billing.
